Terms of Use for the IFEC Education Materials (“Material”)

These terms of use (“Terms”) constitute a binding agreement, governing use of the Material, between you (“User”) and the Investor and Financial Education Council (“IFEC”). By using the Material, the User acknowledges that you have read and understood these Terms, and agree to be bound by these Terms. If the User does not agree to these Terms, the User must not use the Material.

These Terms may be modified by the IFEC at any time at the IFEC’s sole discretion without prior notice to the User. The modified Terms will be posted on the IFEC website. Any modification is effective immediately upon posting. Please check the IFEC website regularly for any modification which may be made. The User’s continued use of the Material following any modification shall be deemed to be acceptance by the User of such modification.

The IFEC endeavours to ensure that the information contained in this Material is accurate as of the date of its publication or release, but the Material is provided on an “as is” basis. No statement, representation or warranty of any kind (whether express or implied) is given by the IFEC in relation to the Material (including the accuracy, completeness, timeliness, non-infringement, reliability, and appropriateness of the Material for use in any particular circumstances). The IFEC has no obligation to update this Material as law and practices change. In no event shall the IFEC, its directors, officers, employees and/or agents, accept or assume any liability (including third party liability) nor entertain any claim for any loss or damage of any kind howsoever caused arising out of or in connection with the Material, including the use of or reliance upon this Material, or any inability to use the Material and whether caused by the IFEC’s negligence or any error or omission in information or otherwise.

Grant of licence
Subject to these Terms, the IFEC grants the User a non-exclusive, non-transferable, non-sub licensable, limited and revocable licence (“User Licence”) to use the Material for educational and non-commercial use only within an activity owned or controlled by the User. Any resale, transfer or distribution of the Material or any game, worksheet, text, picture, music, barcode, video, data, hyperlink, display and other content associated with the Material is prohibited. When using the Material, the User shall ensure that there is sufficient number of trained facilitators present for the use of the Material. The User shall cooperate with IFEC to provide feedback regarding the usage of the Material upon the IFEC’s request.

The IFEC reserves the right to terminate a User Licence at any time in its absolute discretion without giving any reason upon 7 days prior notice to the User. The IFEC may terminate a User Licence immediately if the User is in breach of any of these Terms. Upon termination of the User Licence, the User shall promptly return the Material in the User’s possession to the IFEC or destroy all such Material.

Prohibited use
The Material shall not be used in any way that:-

  • harasses, abuses, stalks, threatens, defames or otherwise infringes or violates the rights of any other party;
  • is unlawful, fraudulent or deceptive;
  • encourages conduct that would constitute criminal offence or that gives rise to civil liability; or
  • violates these Terms in any manner.

Copyright
The IFEC is the owner of the copyright and other intellectual property rights in this Material. This Material (in whole or in part) may not be reproduced or distributed, or used for commercial purposes, without the prior written permission of the IFEC. Without prejudice to the foregoing, User shall not use any of the intellectual property rights in the Material, including the TCF or IFEC trademarks, in connection with any advertising, publicity, promotion, marketing or in any other commercial manner without the prior written consent of the IFEC.

Indemnification
The User agrees to indemnify and hold harmless the IFEC and its directors, officers and employees from and against all third party claims, losses, liabilities, expenses, damages and costs that they may incur or suffer arising out of or in connection with the use of the Material by the User.

Jurisdiction
These Terms shall be governed by the laws of the Hong Kong Special Administrative Region (“Hong Kong”). Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Hong Kong courts.
